01Acceptance of terms

Accessing this website, submitting an enquiry, or signing a proposal or engagement letter constitutes acceptance of these Terms together with our Privacy Policy.

If you are accepting on behalf of a company, you warrant that you have authority to bind that entity.

02Our services

KEYNOH provides process engineering, process development, industrial automation and turnkey project delivery, including site audits, feasibility studies, P&ID and detail design, procurement support, installation supervision, commissioning and operator training.

The precise scope, deliverables, programme and fees for any engagement are defined in a written proposal or contract, which takes precedence over these Terms where they conflict.

03Estimates, quotes & pricing

Initial site audits and consultation calls are provided free of charge and without obligation, as advertised on this website.

Budgetary estimates are indicative only. Fixed-price quotes remain valid for 30 days from issue unless stated otherwise, and are subject to site conditions matching the information you provided.

04Client responsibilities

To allow us to perform safely and on programme, you agree to:

• Provide accurate process data, drawings, utility information and access to the site and personnel we reasonably require.
• Maintain a safe working environment and disclose all known hazards, permits and site rules before mobilisation.
• Appoint a nominated representative empowered to make decisions and accept deliverables.
• Pay invoices within the payment terms stated on the invoice (default 14 days from issue).

05Intellectual property

Upon receipt of full payment, ownership of project-specific deliverables (drawings, specifications, code) transfers to you for use on the described installation. We retain background IP, methodologies, libraries and know-how developed independently of your project.

We may reference completed projects in our portfolio (including photographs) unless you request otherwise in writing; confidential process data is never published.

06Warranties & disclaimers

We warrant that services will be performed with the care and skill of a competent professional engineer, and that deliverables will materially conform to the agreed specification.

Performance guarantees (throughput, yield, energy savings) apply only where expressly stated in a signed contract and are subject to the operating assumptions recorded in that contract.

The website and its content are provided “as is”; we do not warrant that the site will be uninterrupted or error-free.

07Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising from any engagement is limited to the fees paid for the services giving rise to the claim.

We are not liable for indirect or consequential loss, lost production or lost profit, except where caused by our wilful misconduct or where liability cannot be excluded by law.

08Termination & suspension

Either party may terminate an engagement for material breach not remedied within 14 days of notice, or immediately on insolvency.

We may suspend work where site conditions are unsafe, or where invoices remain unpaid beyond the due date, without liability for resulting delay.

09Governing law & disputes

Engagements performed from our Auckland hub are governed by the laws of New Zealand; engagements from our Colombo hub by the laws of Sri Lanka, unless the contract states otherwise.

The parties will first attempt good-faith resolution through senior representatives, then mediation, before commencing proceedings in the courts of the governing jurisdiction.

10Changes to these terms

We may revise these Terms from time to time. The current version and last-updated date appear at the top of this page, and the dated version in force at contract signature continues to govern that contract.
